Role Mission
Reporting to the Global General Counsel, she/he will act as a key point of reference for all the activities related to the field of Corporate Governance and Legal Compliance, ensuring both the total alignment between the strategy and the requirement provided by Law /Company procedures & regulations.
Key Accountabilities
Be aware of the Company strategy and priorities;
Provide expert and strategic legal advice to management;
Identify proactive solutions in order to eliminate or mitigate risks;
Provide legal assistance and counseling on ordinary Corporate activities;
Provide legal assistance on extraordinary operations such as M&A, joint-ventures, divestitures;
Provide legal assistance on Compliance related matters such as Privacy, Product, Health & Safety, D.lgs. 231/91;
Ensure the compliance of the company’s acts and documents with Corporate Law and the company’s Bylaws and to deal with the issues related to the Board of Directors and Shareholders’ Meetings, including the management of the process of the granting/amendment/revocation of the powers and delegations of powers;
Draft national and international commercial agreements and contracts that minimize risks and maximize legal rights;
Supervise and coordinate Corporate Governance & Compliance activities at a Regional level;
Coordinate with other Legal Counsels to ensure a consistent legal approach across the Company;
Evaluate and weigh multiple inputs and impacts of any decision or course of action;
Deal with internal and external Stakeholders;
Manage internal resources to achieve department objectives as well as develop and enhance the team.
Key Requirements
Degree in Law;
At least 8/10 years of proven legal counselling experience gained both in International Law Firms and in well structured in-house Legal Department of international Group;
Solid experience in drafting agreements and contracts;
Fluent in Italian and English;
First class interpersonal and communication skills;
High degree of professional ethic and integrity;
Excellent management, teamwork and problem-solving skills;
Initiative and a strong strategic vision.
